These Terms of Service ("Terms") govern your use of ChurnShield ("we," "us," or "our"), a payment recovery platform for SaaS businesses. By creating an account or using our service, you agree to these Terms.

1. Service Description

ChurnShield provides automated failed payment recovery for businesses using Stripe. Our service includes:

• Monitoring your Stripe account for failed subscription payments
• Classifying payment failures by decline type
• Executing smart payment retries at optimal intervals
• Sending dunning email sequences to customers with failed payments
• Providing a dashboard with recovery analytics and reporting

2. Account Registration

To use ChurnShield, you must:

• Have an active Stripe account
• Subscribe to a ChurnShield plan via Stripe Checkout
• Connect your Stripe account through our secure onboarding flow
• Provide accurate and complete information

You are responsible for maintaining the security of your account and for all activity that occurs under it.

3. Subscription and Billing

ChurnShield is a paid subscription service billed monthly through Stripe. By subscribing:

• You authorize us to charge your payment method on a recurring monthly basis
• Prices are listed on our pricing page and may change with 30 days' notice
• All fees are non-refundable except as required by law
• You can upgrade, downgrade, or cancel your plan at any time from your dashboard

4. Cancellation

You may cancel your subscription at any time. Upon cancellation:

• Your service will remain active until the end of your current billing period
• All active retries and dunning sequences will complete their current cycle
• No new retries or dunning emails will be initiated after the billing period ends
• Your data will be retained for 30 days, after which it will be deleted upon request

5. Stripe Connect Authorization

By connecting your Stripe account, you authorize ChurnShield to:

• Receive webhook events related to payment failures and recoveries
• Read invoice, subscription, and customer data necessary for recovery
• Initiate payment retries on failed invoices
• Send emails to your customers on your behalf regarding failed payments

You may revoke this authorization at any time by disconnecting your Stripe account from your ChurnShield settings or directly from your Stripe Dashboard.

6. Your Responsibilities

You agree to:

• Use ChurnShield only for lawful business purposes
• Ensure you have the right to contact your customers about failed payments
• Not use our service to send spam or unsolicited communications
• Keep your account information and Stripe connection up to date
• Comply with Stripe's Terms of Service and applicable payment regulations

7. Service Availability

We strive for high availability but do not guarantee uninterrupted service. ChurnShield depends on third-party services including Stripe and email delivery providers. We are not liable for service interruptions caused by third-party outages, scheduled maintenance, or circumstances beyond our control.

8. Limitation of Liability

ChurnShield is provided "as is." To the maximum extent permitted by law:

• We do not guarantee any specific recovery rate or revenue amount
• We are not liable for indirect, incidental, or consequential damages
• Our total liability shall not exceed the fees you paid in the 12 months preceding the claim
• We are not responsible for payment processing errors originating from Stripe or card networks

9. Intellectual Property

All content, code, branding, and materials on ChurnShield are our intellectual property. You may not copy, modify, distribute, or reverse-engineer any part of our service. Your business data remains your property — we claim no ownership of your Stripe data.

10. Privacy

Your use of ChurnShield is also governed by our Privacy Policy, which describes how we collect, use, and protect your data.

11. Modifications to Terms

We may update these Terms from time to time. We will notify you of material changes via email or through the service. Continued use of ChurnShield after changes take effect constitutes acceptance of the updated Terms.

12. Termination

We reserve the right to suspend or terminate your account if you violate these Terms, use the service for fraudulent purposes, or fail to pay your subscription fees. We will provide reasonable notice when possible.

13. Governing Law

These Terms are governed by the laws of the United States. Any disputes shall be resolved through binding arbitration or in the courts of the applicable jurisdiction.
